Affiliate Responsibilities
Affiliates are responsible for connecting qualified prospects to our Business Development team via michaelan@thecustomerfactory.com or other means specified such as a scheduling link. To be eligible for commission, referral information must include:

- Full and correct contact information of decision makers, including their website address; and

- Action that results in a sales Discovery call and close within 90 days.
Prospects must express interest in services like ours, understand that The Customer Factory is an online advertising agency, and agree to a Discovery call with our sales team to determine if they qualified for our services and if they are likely to benefit from the services. Once signed up and paid for service the referring affiliate will begin receiving their commission.
Affiliate Compensation
Affiliates receive 25% of the monthly basic program fees (not including set up fees) collected from all clients they refer under the rules of this agreement. For example, if a referred client signs up for the basic service plan at $850/month, the affiliate receives $212/month for as long as the client remains on continuous service. There is a lifetime cap of $5000 per successful referred client. Fees paid by client to third parties (ie. Meta, Google, etc) are not commissionable, nor are payments for additional services about the basic service.
No Guarantee of Success or Income
Participation in The Customer Factory Affiliate Program is completely voluntary and undertaken at your own risk.
By participating in this Affiliate Program (“Program”), you acknowledge and agree to the following terms related to income, compensation, responsibilities, and participation:
1. No Guarantee of Income, Success, or Results
Participation in the Program does not guarantee any income, success, or specific outcomes. The Company makes no guarantees, representations, or warranties—express or implied—regarding your success, income, or outcomes as an affiliate.
Your results may vary and are dependent on numerous factors including, but not limited to:

- The effectiveness of The Customer Factory’s services in relation to referred clients;

- The quality of the referral and the needs of the individual client;

- Changes in market conditions, consumer behavior, local or national regulations;

- Technological changes or updates;
-
- Actions or decisions made by The Customer Factory or third parties beyond our control.
You understand and accept that you may expend time, effort, and financial resources without receiving any compensation or return on that investment. There is no promise of performance, compensation, or specific results by The Customer Factory as part of this program. Your success depends entirely on factors outside our ability to guarantee, and you assume full responsibility for all risks involved in participating.
2. Performance-Based Compensation
Commissions are earned solely based on qualified referrals that result in actual client signups. You may invest time, effort, or money in promoting the Program without receiving any compensation if your efforts do not lead to a client completing a qualified purchase or enrollment.
There is no compensation for leads, exposure, marketing activity, or traffic that does not result in verified client acquisition.
3. Client Retention Not Guaranteed
If any part of the commission structure is tied to ongoing client retention or subscription continuity, you understand that such income is not guaranteed. Clients may cancel or disengage from services at any time, and the Company makes no assurances about client longevity or retention. Commission payments will adjust accordingly.
4. No Employment Relationship
Your role as an affiliate is that of an independent contractor. Nothing in this Program shall be construed to create any employment, partnership, joint venture, or agency relationship between you and the Company. You are not entitled to employee benefits, wages, unemployment insurance, or workers’ compensation.
5. Legal and Marketing Compliance
You are solely responsible for ensuring that your marketing practices and promotional content:

- Comply with all applicable laws and regulations, including Federal Trade Commission (FTC) guidelines on endorsements and testimonials;

- Do not make false, misleading, or unsubstantiated claims, including but not limited to health outcomes, income potential, or business success;

- Include appropriate disclaimers and disclosures where required.
Violation of these requirements may result in termination of your participation in the Program and forfeiture of unpaid commissions.
6. Program Changes
The Company reserves the right to modify, suspend, or terminate any aspect of the Program—including commission rates, structures, eligibility requirements, or Program terms—at its sole discretion and at any time, with or without prior notice. Continued participation following such changes constitutes acceptance of the updated terms.
7. Tax Obligations
You are responsible for reporting and paying all applicable federal, state, and local taxes on any earnings received through the Program. The Company may issue appropriate tax documentation (such as a Form 1099) when required by law but accepts no responsibility for your tax compliance.
8. Verification and Termination Rights
The Company reserves the right to delay or withhold commission payments in order to verify the authenticity and legitimacy of any referred client or sign-up. This includes, but is not limited to, confirming that the client is a bona fide purchaser, not a duplicate or fraudulent entry, and has completed all required actions under the Program.
The Company also reserves the right to suspend or terminate any affiliate’s participation in the Program at any time, with or without cause, and without prior notice. This includes termination for suspicious activity, violation of Program terms, poor representation of the brand, or for any reason or no reason at all, at the sole discretion of the Company.
Client Service Award Option
Current TCF clients may choose to receive service credit instead of monetary commission. These credits can only be applied to our monthly service fees—not third-party ad costs like Facebook. Any unused credit beyond the cost of monthly service is carried over for additional services. Unused credits expire if service is terminated. Credits are redeemable for cash. All terms for Service Awards follow the general commission rules under this agreement.
Commission Eligibility, Payment Policy, and Tax Responsibility
All commissionable affiliates must complete and submit the required tax documentation prior to receiving any payments. Affiliates are solely responsible for understanding, reporting, and paying any and all taxes, fees, or other legal obligations associated with their earnings. The Customer Factory assumes no liability for any tax, legal, or regulatory implications that may arise from affiliate participation or payment. Affiliates may be individuals or companies and operate at their own risk.
While it is our general policy to issue payments promptly, commission payments are made at our discretion and are subject to verification, adjustment, or withholding for any reason we deem necessary. Recurring commissions are typically paid on a monthly basis, based on eligible net service revenue collected from referred clients during the preceding month. However, commission amounts may be reduced, forfeited, or withheld entirely in cases including, but not limited to: client refunds, chargebacks, fraud or potential fraud, billing disputes, promotional “make good” credits, free or discounted services, client cancellations, or failure to meet affiliate program requirements.

Eligible Referrals
Prospects you refer must sign up for paid service within 90 days of being referred to us.
We cannot pay commissions for referrals received when the person is already an active prospect with our sales department. An “active prospect” means we have presented our services to them within the last 365 days. This restriction can be waived on a case by case basis if you are deemed by our staff to have been pivotal in closing the prospect for services.
You must be the first affiliate to have referred them to us in the last 90 days. We do not split commissions between affiliates.
If a referred client stops paid service with us for more than 30 days and then returns to us later due to our efforts or the efforts of another affiliate, no future commission is owed to the original affiliate.
Clients may not receive affiliate commissions for referring themselves or in any way that acts as a covert discount.
Affiliate Restrictions
Affiliates cannot make promises to prospective clients regarding results, either financial or otherwise.
Affiliates may not use any unethical, misleading, or manipulative tactics to generate referrals or commissions. Any activity that, in The Customer Factory’s sole opinion, distorts the referral relationship or artificially inflates commissions or results in any reduced capacity for the company is strictly prohibited and could result in the cancellation of all commissions and the affiliate relationship.
Affiliates are independent contractors and must not present themselves as acting as agents, employees, or partners of The Customer Factory in their role as affiliates.
This agreement does not grant the right to use our trademarks, service marks, intellectual property, or materials. You may not assign or transfer your rights or compensations under this agreement to any other entity or person.
Affiliate Eligibility for Company Personnel and Their Families
Company staff, employees, and their immediate family members are eligible to participate in the affiliate program provided that no company resources, including but not limited to client lists, lead databases, marketing tools, or internal records, are used in the identification or procurement of referred prospects. Additionally, individuals who are current or former clients of the Company are not eligible to be referred by company staff, employees, or their immediate families. All referrals made by such affiliates must originate from personal, independent outreach and not derive in any way from prior company relationships or information. Company staff must avoid even the appearance of any impropriety related to the affiliate program.
Company Discretion & Right to Decline
We reserve the right to decline any prospect and not pursue them as a client for any reason.
We may act to discontinue service to referred clients at any time, which will stop commission payments. We may adjust pricing, grant discounts, change operations, service pricing, or provide free services at our discretion, which may impact the timing or amount of an affiliate’s commissions.
We reserve the right to refuse to accept referrals from any affiliate but will continue to honor commissions honestly earned.
Right to Alter or Terminate Affiliate Relationship
The Customer Factory reserves the unrestricted right to suspend or terminate any affiliate relationship at any time, with or without cause, at our sole discretion. This includes, but is not limited to, any behavior, action, or association—past, present, or potential—that we determine, in our sole judgment, may harm or pose a risk to the reputation, interests, profitability, operations, clients, staff, or other affiliates of The Customer Factory. In such cases, all pending or future commission payments may be withheld or canceled without notice or liability.
Dispute Resolution and Final Authority
In the event of any dispute—whether between affiliates or involving the interpretation, application, or enforcement of this agreement, including but not limited to issues concerning referrals, commissions, eligibility, or any related matter—The Customer Factory retains sole and final authority to resolve the matter at its exclusive discretion. All decisions made by The Customer Factory are final, binding, and not subject to appeal or review. We reserve the right to take any action we deem appropriate, including denial or adjustment of commissions, modification of terms, or termination of participation, to protect the integrity and interests of the Company.
Laws and Regulations Compliance
We will endeavor to abide by all local, professional, and state regulations. However, the final responsibility lies with the affiliate. You agree to hold us harmless against any damages or claims resulting directly or indirectly from your participation in this program.
Entire Agreement
This agreement constitutes the entire agreement between the parties. It supersedes all previous agreements and understandings. Email is considered a valid notification mechanism for all activities under this agreement.
